Welcome to GrowthReadiness.com, operated by Growth Readiness, a consultancy empowering mid-size businesses ($40–$150M revenue) to achieve scalable success through the Growth Readiness Framework. These Terms of Service ("Terms") govern your access to and use of GrowthReadiness.com, our assessments (Growth Readiness Spark and Orbit), Strategy Calls, Mission Briefings, Intensive Suite, FUSION Suite, and Command Center Dashboard (collectively, "Services"). By accessing or using our Services, you agree to these Terms, reflecting our GROWTH values: Grounded, Resilient, Observant, Wise, Tenacious, and Harmonious.

1. Eligibility

You must be at least 18 years old and authorized to act on behalf of your business to use our Services. By using our Services, you represent that you meet these requirements.

2. Use of Services

Permitted Use: You may use our Services to assess growth barriers, book Strategy Calls, participate in Mission Briefings, or engage in Intensive or FUSION Suite services for legitimate business purposes.

Prohibited Conduct: You agree not to:

Use Services for unlawful purposes or in violation of these Terms.

Reverse-engineer, copy, or modify the Growth Readiness Framework, Command Center, or other proprietary tools.

Share login credentials or access non-authorized accounts.

Interfere with the functionality of GrowthReadiness.com or related platforms (e.g., GoHighLevel, Figma, Vibe).

3. Account and Payment

Account Creation: To access certain Services (e.g., Command Center, Mission Briefing), you may need to create an account via our CRM, providing accurate contact and business details.

Payment Terms:

Mission Briefing: due upon signing the agreement, payable via invoice or approved payment methods.

Intensive Suite: payable in installments as outlined in the engagement agreement.

FUSION Suite: Fees vary based on Signal or Stage Leadership deliverables, billed monthly or quarterly per the agreement.

All payments are non-refundable unless otherwise stated in the signed agreement.

Taxes: You are responsible for any applicable taxes on fees for Services.

4. Intellectual Property

Ownership: Growth Readiness retains all rights to the Growth Readiness Framework, Command Center Dashboard, assessment tools, and related materials. You are granted a non-exclusive, non-transferable license to use deliverables (e.g., Transformation Roadmap, Strategic Plan) solely for your business’s internal purposes.

Client Content: You retain ownership of data provided (e.g., assessment responses, KPI data). By providing content, you grant us a worldwide, non-exclusive license to use it to deliver Services and for anonymized analytics.

5. Confidentiality

We are Grounded in integrity and will protect confidential information shared during Mission Briefings, Intensive Suite, or FUSION Suite engagements, using it only to deliver Services or as permitted by you. You agree to treat our proprietary tools (e.g., Command Center, Framework) as confidential.

6. Termination

By You: You may stop using Services at any time, subject to payment obligations for completed work.

By Us: We may suspend or terminate access if you violate these Terms, fail to make payments, or engage in prohibited conduct.

Effect of Termination: Upon termination, access to the Command Center and other Services will cease, but obligations (e.g., payment, confidentiality) survive.

7. Disclaimers

No Guarantees: While we strive for market leadership through the Growth Readiness Framework, we do not guarantee specific business outcomes, as success depends on your implementation and market conditions.

Third-Party Tools: Services rely on third-party platforms (e.g., GoHighLevel, Figma). We are not liable for their performance or availability.

8. Limitation of Liability

To the fullest extent permitted by law, Growth Readiness is not liable for indirect, incidental, or consequential damages arising from your use of Services. Our total liability is limited to the amount paid for the specific Service (e.g., Mission Briefing fee).

9. Indemnity

You agree to indemnify Growth Readiness against claims arising from your misuse of Services, violation of these Terms, or infringement of third-party rights.

10. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by California law, excluding conflict of law principles.

Disputes: Any disputes will be resolved through binding arbitration in Salt Lake City, Utah under the American Arbitration Association’s rules, except for injunctive relief, which may be sought in court.

11. Changes to Terms

We may update these Terms to reflect changes in our Services. Updates will be posted on GrowthReadiness.com with the effective date. Continued use of Services constitutes acceptance of the revised Terms.
